Stockholders and other interested parties wishing to communicate with the Board, a Board committee or any specified individual member of the Board should send a written communication c/o the Corporate Secretary, HF Financial Corp., 225 South Main Avenue, Sioux Falls, SD, 57104. Each such communication should state the full name of the stockholder or interested party and indicate whether the sender is a stockholder of HF Financial Corp.
The Corporate Secretary will forward any such written communication to the indicated recipient unless the written communication is (a) abusive or inappropriate (b) related to an improper or irrelevant topic, or (c) not related to the responsibilities or duties of the Board, in which case the Corporate Secretary has the authority to discard the communication or to take appropriate legal or other action regarding the communication. In addition, the Corporate Secretary will summarize lengthy, repetitive or duplicative communications, in lieu of forwarding such communications to the indicated recipient. Notwithstanding the foregoing, the Corporate Secretary will retain a copy of all such written communications for review by any director upon request until at least the next Board meeting following receipt of such communication. All such communications shall be kept confidential to the extent reasonably possible.
At each meeting of the Board, the Corporate Secretary will present a summary of all written communications received since the last Board meeting that were not forwarded to the indicated recipient and will make such written communications available to any director upon request.
